ENCODED Terms of Service

Entity: ENCODED LLC, a Delaware limited liability company (“ENCODED,” “we,” “us,” “our”)

By accessing the ENCODED website, app, programs, and services (collectively, the “Services”), you (“you,” “Member,” “user,” or “customer”) agree to the following Terms of Service. Please read carefully.

1. Eligibility

- You must be at least 18 years old to purchase or participate in ENCODED services.
- By using our Services, you represent that you meet this requirement.

2. Services Provided
‍
- ENCODED offers personal performance, transformation, and training programs including but not limited to:
--- The Activation Sequence (one-time onboarding program)
--- The Frequency Training Gym Membership (recurring subscription)
--- Additional journals, digital apps, live sessions, transmissions, and community spaces.

- ENCODED is not a medical, psychological, or financial services provider. Our Services are educational, experiential, and designed for personal development.

3. Payments & Billing
‍
- Activation Fee: A one-time, non-refundable payment due at enrollment. Covers Resonance Mapping, Subconscious Reprogramming Blueprint, journal and app setup, and Gym orientation.
- Membership Fee: Recurring subscription, billed every 30 days after the Activation Session. A minimum commitment period is required before cancellation.
- Renewal: After the initial commitment term, membership continues month-to-month until cancelled with at least 14 days’ notice before the next billing date.
- Non-Use Policy: Failure to use the Gym, app, or Services does not pause or cancel your payments.

4. Cancellation & Refunds

- Activation Fees are non-refundable.
- Membership may be cancelled after the initial commitment period by providing at least 14 days’ notice before the next billing cycle.
- No partial refunds or credits will be issued for unused time.

5. Member Standards

‍By joining ENCODED, you agree to:
- Uphold a high-frequency culture: respect, positivity, no harassment or abuse.
- Protect confidentiality of all other Members’ personal information and experiences.
- Use the ENCODED System only for your own growth unless given written permission to teach, train, or license it.
- Avoid spam, solicitation, or self-promotion in ENCODED community spaces.

Violation of these standards may result in suspension or termination of membership without refund.

6. Intellectual Property

- All content, methods, materials, journals, branding, and app technology are the exclusive property of ENCODED LLC.
- You are granted a limited, personal, non-transferable license to use ENCODED content during your active membership.
- Copying, reproducing, distributing, or using ENCODED IP outside of personal use is prohibited unless explicitly licensed.

7. Technology & Access

- ENCODED provides access via website, app, and community platforms (e.g., WhatsApp, Zoom, or others).
- We are not liable for interruptions due to internet, third-party platforms, or device issues.
- You are responsible for maintaining the security of your login credentials.

8. Disclaimers

- ENCODED is not medical, psychological, therapeutic, or financial advice.
- Individual results vary and depend on your own effort, engagement, and circumstances.
- We make no guarantees of specific outcomes.

9. Limitation of Liability

- To the maximum extent permitted by law, ENCODED is not liable for any indirect, incidental, or consequential damages arising from use of our Services.
- Our total liability is limited to the fees you paid in the 3 months prior to the claim.

10. Indemnification

‍You agree to indemnify and hold harmless ENCODED LLC, its founders, trainers, and affiliates from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

11. Governing Law & Disputes

- These Terms are governed by the laws of Delaware, USA.
- Any disputes shall be resolved through binding arbitration in Wilmington, Delaware under AAA rules.
- You waive the right to participate in class actions against ENCODED.

12. Changes to Terms

‍We may update these Terms of Service from time to time. Updated terms will be posted on our website with the new effective date. Continued use of Services constitutes acceptance of changes.
